Terms of Service

1. Acceptance of Terms

By accessing or using Apex Bedding Solutions' website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Apex Bedding Solutions provides B2B mattress and bedding procurement facilitation services including product sourcing, compliance verification, logistics coordination, and delivery management for commercial properties across London.

3. Quotations & Orders

• All quotations are valid for 90 days from issue date unless otherwise stated
• Orders are confirmed upon written acceptance of quotation
• Pricing excludes VAT unless explicitly stated
• Minimum order quantities may apply to certain product categories
• Custom specifications may require extended lead times

4. Payment Terms

• New customers: Payment required prior to dispatch (pro forma)
• Approved credit accounts: Net 30 days from invoice date
• Late payments may incur interest charges at 8% above Bank of England base rate
• Title of goods passes to buyer upon full payment clearance

5. Delivery & Installation

• Delivery times are estimates; we strive to meet stated lead times but accept no liability for delays beyond our control
• Standard delivery is ground-floor only unless installation service specified
• Customer must ensure safe access for delivery vehicles and personnel
• Installation includes positioning and packaging removal where agreed
• Risk transfers to customer upon delivery completion

6. Product Warranty

• Contract-grade products: 7-year manufacturer warranty
• Institutional-grade products: 10-year manufacturer warranty
• Warranty covers manufacturing defects and abnormal degradation
• Normal wear and tear, damage, or misuse are excluded
• Claims must be reported within 14 days of defect identification

7. Referral Program

The 10% Referral Partner Program provides a discount credit on future orders for existing clients who refer new commercial customers. Credits have no cash value, cannot be transferred, and apply to the next completed order after referral confirmation. Apex reserves the right to modify program terms with 30 days notice.

8. Limitation of Liability

Our total liability arising out of or in connection with any order shall not exceed the total value of products supplied under that specific order. We exclude liability for indirect, consequential, or special losses including loss of revenue, profit, or business opportunity.

9. Governing Law

These Terms are governed by and construed in accordance with English law. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
